General Terms and Conditions for Ticket Buyers

These are our current versions of the terms and conditions both for Organizations (platform users) and Ticket buyers (users). Please read them carefully before using our services.

Definitions

  • General Terms and Conditions: The general terms and conditions included in this document
  • Tiqqo: The private limited company E-asy Concepts B.V. operating under the trade name Tiqqo, located at Ambachtshof 88, Nootdorp.
  • Organizer: The legal entity or natural person organizing an event and using the Tiqqo Platform for the sale of Tickets and products to Users.
  • User: The natural person or legal entity visiting and/or using the Tiqqo Platform to purchase Tickets or other Products for an event organized by an Organizer.
  • Platform: The online environment, offered by Tiqqo, that enables Organizers to manage their events and sell Tickets and products, and where Users can purchase Tickets for these events.
  • Services: All functionalities and services that Tiqqo offers to Organizers and Users via the Platform, including but not limited to ticket sales, event management marketing tools, and customer support.
  • Ticket: A Digital proof that grants access to a specific event, organized by an Organizer and sold via the Tiqqo Platform.
  • Products: All items offered for sale via the Tiqqo Platform, including Tickets and any additional goods or services related to the event.
  • Purchase Agreement: The agreement established between the User and the Organizer when the User purchases a Ticket or other Product via the Tiqqo Platform, with Tiqqo acting as an intermediary and not as a party to this agreement.

Applicability of the Agreement

  1. These General Terms and Conditions apply to all services and offers of Tiqqo, particularly to the use of the Platform, the Services, and all (legal) actions performed between Tiqqo, Organizers, and Users.
  2. By using the Tiqqo Platform and ordering a Ticket, the User agrees to these General Terms and Conditions. The Purchase Agreement is established between the User and the Organizer of the event, with Tiqqo acting as an intermediary.
  3. Additional terms and conditions of the Organizer may apply to the Purchase Agreement between User and Organizer. In the event of a conflict between the provisions of these General Terms and Conditions and the Organizer's conditions, insofar as it concerns the purchase of the Ticket, the provisions of these General Terms and Conditions shall prevail.
  4. The applicability of any other general terms and conditions, whether used by the User or any other third party, is expressly rejected.
  5. Tiqqo reserves the right to unilaterally amend these General Terms and Conditions. In case of amendment, Tiqqo will inform Users and Organizers via the Platform or by email, observing a notice period of thirty (30) days before the amendments take effect. If a User or Organizer does not wish to accept the amended General Terms and Conditions, they may discontinue the use of the Platform. Continued use of the Platform after the amendments take effect is considered acceptance of the amended General Terms and Conditions.
  6. If any provision of these General Terms and Conditions proves to be null and void or is annulled, this shall not affect the validity of the entire General Terms and Conditions. In such a case, Tiqqo shall establish (a) new provision(s) to replace the void or annulled provision(s), adhering as closely as legally possible to the purpose and intent of the original provision.
  7. These General Terms and Conditions also apply to anyone employed by Tiqqo, engaged by Tiqqo, or for whose actions or omissions Tiqqo may be liable.

Purchase Agreement

Establishment of Agreement

  1. The Purchase Agreement between the User and the Organizer is established upon the purchase of the Ticket and payment of the Ticket Price.
  2. Tiqqo is expressly not a party to this Purchase Agreement but only facilitates its conclusion via the Platform.

Role of Tiqqo

  1. Tiqqo acts as an intermediary between User and Organizer and arranges the payment of Tickets.
  2. Tiqqo delivers the Ticket to the User on behalf of the Organizer.

The Ticket

  1. Tickets are provided electronically and contain a unique code for access control.
  2. The User is responsible for providing correct contact details for the delivery of the Ticket.

Ownership and Use of Tickets

  1. Tickets remain the property of the Organizer.
  2. Without the Organizer's permission, it is not allowed to: a) Resell Tickets or otherwise transfer them to third parties; b) Offer Tickets in commercial expressions or refer to them.

Invalidation

In case of violation of these terms, Tiqqo and/or the Organizer may invalidate the Tickets without the right to compensation.

Limitation on Number of Tickets

Tiqqo and/or the Organizer reserve the right to set a maximum on the number of Tickets that can be ordered.

Price and Payment

Ticket Price Composition

  1. The total price of a Ticket consists of the following components: a) The Entrance Price: the base amount set by the Organizer b) Service Fees: costs for Tiqqo's services c) Transaction Costs: costs related to the chosen payment method
  2. All prices include the applicable VAT rate, unless stated otherwise.
  3. When placing an order, all price components are clearly and transparently shown to the User.

Payment Methods

  1. The payment methods accepted by Tiqqo are listed on the Platform.
  2. Transaction costs may vary per payment method. These differences are clearly indicated prior to payment.
  3. Available payment methods may vary per event, depending on the Organizer's preferences.

Price Changes and Errors

  1. Organizers have the right to adjust Ticket prices at any time.
  2. Tiqqo is not liable for interim price changes implemented by Organizers.
  3. In case of obvious typing or printing errors in the price listing on the Platform, the User cannot hold Tiqqo to prices that the User should reasonably have understood to be incorrect.

Payment Terms

  1. Payment must be made immediately upon purchase of the Ticket via the payment methods offered on the Platform.
  2. A Ticket is only valid after full payment of the total price.

Refund Policy

  1. Once purchased, Tickets cannot be returned to Tiqqo. The Organizer is responsible for the return policy and processing of credits in case of event cancellations.
  2. In case of event cancellation by the Organizer, the refund process will proceed according to the policy of the respective Organizer, with Tiqqo acting as an intermediary.

Currency

  1. All prices on the Platform are displayed in the currency chosen by the Organizer for the respective event.
  2. Where applicable, exchange rates are clearly stated.

Liability

Limitation of Liability

  1. Tiqqo cannot be considered as the Organizer of events and is not responsible for the organization, content, or quality of events for which Tickets are sold via the Platform.
  2. Except in cases of intentional or gross negligence by Tiqqo, Tiqqo is not liable to the User for any damage resulting from the use of the Platform, the execution of the Purchase Agreement between User and Organizer, or attending events.
  3. The total cumulative liability of Tiqqo per incident or series of related incidents is limited to the amount of fees that Tiqqo has received for the transaction in question, with a maximum of € 500,- (five hundred euros).

Exclusion of Liability

  1. Tiqqo is in no case liable for indirect damage, including but not limited to lost profits, loss of goodwill, loss of data, missed savings, damage due to business stagnation, or consequential damage.
  2. Tiqqo accepts no liability for: a) Loss, theft, damage, or misuse of Tickets b) Counterfeit Tickets or other misuse by Users, Organizers, or third parties c) Cancelled events d) Damage caused by attending events e) Malfunctions or maintenance of the Platform

Force Majeure

  1. Tiqqo is not liable for non-performance or late performance of obligations due to force majeure.
  2. Force majeure is understood to mean, in addition to what is understood by law and jurisprudence, all external causes, foreseen or unforeseen, which Tiqqo cannot influence but which prevent Tiqqo from fulfilling its obligations. This includes, but is not limited to: a) Measures by any governmental authority b) Failure of internet, computer network, or telecommunications facilities c) Extreme weather conditions d) Fire, flood, natural disasters e) War, terrorism, riot, strike

Organizer's Liability

  1. The Organizer is fully responsible and liable for the organization and execution of the event, including but not limited to the (artistic) quality, safety, and compliance with laws and regulations.
  2. Any complaints or claims regarding the event should be directed to the Organizer.

Limitation Period

Any claim against Tiqqo expires by the mere lapse of 12 months after the claim arose.

Indemnification

The User indemnifies Tiqqo against all claims by third parties, including but not limited to other Users and Organizers, related to the User's use of the Platform.

Lapse of Limitation

The above-mentioned liability limitations lapse if and insofar as the damage is the result of intentional or deliberate recklessness of Tiqqo or its managerial staff.

Privacy and Data Protection

Organizer's Responsibility

  1. The Organizer determines which data is collected and how it is processed.
  2. The Organizer is responsible for including subprocessors in their terms and informing Users about this.

Data Collection by Tiqqo

  1. Tiqqo collects and processes the following basic information from Users: a) First name b) Last name c) Email address
  2. This data is used exclusively for communicating and processing orders, tickets, and related services.
  3. Tiqqo will not use this data for other purposes or process it further.

Data Protection

Tiqqo takes appropriate technical and organizational measures to protect Users' personal data against unauthorized or unlawful processing and against accidental loss, destruction, or damage.

User Rights

Users have the right to request access to their personal data, to have it corrected or deleted, insofar as this is not in conflict with legal obligations or legitimate interests of Tiqqo or the Organizer.

Privacy Policy

For more detailed information about the processing of personal data, Tiqqo refers to its Privacy Policy, which can be found on the Platform.

Cancellation of Events

Organizer's Responsibility

  1. The Organizer is fully responsible for the cancellation of events and all communication about this with Users.
  2. For questions or complaints about cancellations, the User should contact the Organizer directly.

Role of Tiqqo

  1. Tiqqo acts solely as a service provider and will only proceed with crediting Tickets at the express request and instruction of the Organizer.
  2. Tiqqo is not responsible for the Organizer's cancellation policy.

Reimbursement of Costs

  1. In case of cancellation, the Service Fees and Transaction Costs charged by Tiqqo will not be refunded.
  2. Any refund only concerns the Ticket Price, unless the Organizer determines otherwise.

Applicable Terms

  1. The Organizer's general terms and conditions apply to the cancellation of events.
  2. Users are advised to consult the Organizer's general terms and conditions for specific details about the cancellation policy.

Intellectual Property Rights

Ownership of Content

All intellectual property rights relating to the Tiqqo Platform, including but not limited to software, designs, logos, and other visual elements, are the property of Tiqqo or its licensors.

Communication Tools and Assets

The intellectual property rights on all communication tools provided by Tiqqo, including but not limited to: a) Logos b) Visual material c) Other visual assets remain with Tiqqo at all times.

Use by Users

  1. Users acquire a limited, non-exclusive, non-transferable right to use the assets provided by Tiqqo, solely for the purpose for which they were provided.
  2. Users are not allowed to modify, copy, distribute, or use Tiqqo's intellectual property rights for purposes not explicitly permitted by Tiqqo.

Infringement

Any infringement of Tiqqo's intellectual property rights may lead to legal action and/or termination of access to the Platform.

Third-Party Licenses

If certain elements of the Platform are subject to third-party licenses, Tiqqo will inform the User of this and ensure that the User adheres to the terms of these licenses.

Applicable Law and Disputes

Applicable Law

These General Terms and Conditions, the Agreement, and the use of the Platform are exclusively governed by Dutch law.

Dispute Resolution

  1. Parties will endeavor to resolve any disputes by mutual agreement.
  2. If parties fail to resolve a dispute by mutual agreement, they will attempt to resolve the dispute through mediation in accordance with the regulations of the Foundation for the Settlement of Automation Disputes in The Hague.

Competent Court

If it proves impossible to resolve a dispute through mediation, the dispute will be submitted to the competent court in the district where Tiqqo is located.

Exceptions

  1. The provisions in this article do not affect the User's possibility to submit a dispute to the competent statutory authorities.
  2. The provisions in this article do not affect the applicability of mandatory legal provisions regarding the competent court.
